Violation of these prohibitions may result in immediate termination of your account, legal action, and/or referral to appropriate law enforcement authorities.

5. Ordering, Pricing, and Payment Terms

5.1 Order Placement

All orders placed through the Site are subject to acceptance by Wing Snob. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product descriptions, suspected fraudulent activity, or technical errors. If we cancel an order after payment has been processed, we will issue a full refund using the original payment method.

All prices listed on the Site are in United States Dollars (USD) and are subject to change without prior notice. Applicable sales tax will be calculated and added to your order total at checkout in accordance with the tax laws of the applicable state and local jurisdiction. Due to the perishable nature of food products, all sales are generally final once an order has been prepared. To the extent permitted by applicable law, you and Wing Snob agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the applicable jurisdiction of Wing Snob's place of business for the resolution of any disputes not subject to arbitration as set forth in Section 13 below.

These Terms are subject to and comply with applicable federal law, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts and practices in commerce. Where applicable, the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) may apply to California residents, and such rights are addressed in our separate Privacy Policy.

You agree that any cause of action arising out of or related to the Site must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Wing Snob will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed with arbitration as described below.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, you and Wing Snob agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or Wing Snob's services shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

The arbitration shall take place in the state where Wing Snob's principal place of business is located, or via videoconference at the option of either party for disputes valued under $10,000. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other proprietary rights.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site. Wing Snob reserves the right, at its sole discretion, to:

• Terminate or suspend your account and access to the Site immediately, with or without cause, and with or without notice;
• Refuse service to any person for any reason not prohibited by applicable law;
